These Terms and Conditions govern the relationship between Qquench Media Private Limited, an organization incorporated under the laws of India with its principal place of business in Pune, Maharashtra, India (“Qquench”, “Company”, “we”, “us”), and the client organization or individual engaging Qquench services (“Client”).
Qquench is a behavioral capability architecture partner supporting global enterprises through the design and development of enterprise learning systems, digital platforms, and AI automation solutions that enable measurable transformation and operational capability at scale.

Scope of Services
Qquench provides professional services including but not limited to:
The Customer must:
- Enterprise learning design and development
- Digital platform design and UX architecture
- Enterprise AI automation systems
- Learning experience platforms and training ecosystems
- Content design, multimedia production, and instructional design
- Digital product strategy and experience design
The detailed scope, deliverables, timelines, and commercial terms for each engagement will be defined in a Statement of Work (SOW), Proposal, or Master Service Agreement (MSA) agreed upon by both parties.
Formation of Agreement
A binding agreement between Qquench and the Client is established when:
The Customer initiates by submitting a project brief via the “Start a Project” form. The Company will respond with a quote—this is only an invitation to offer, not a binding agreement. Once the Customer accepts the quote, a formal contract is formed upon the Company’s written confirmation.
- A proposal or Statement of Work issued by Qquench is formally accepted by the Client, and
- Both parties confirm the engagement through written communication or contract execution.
Each project may operate under a separate Statement of Work, which forms part of these Terms.
Client Responsibilities
The Client agrees to:
- Provide accurate project requirements, documentation, and feedback necessary for delivery
- Review deliverables within the timelines defined in the Statement of Work
- Ensure that any content, data, or assets provided to Qquench do not infringe third-party rights
- Maintain communication necessary for project progress
Delays in feedback or required inputs may affect project timelines.
Delivery and Acceptance
Project deliverables will be provided in digital formats appropriate to the service engagement. These may include design files, prototypes, learning modules, automation workflows, documentation, or deployed digital assets.
Unless otherwise defined in the project agreement:
- Deliverables are considered accepted if no feedback is provided within 10 business days of delivery
- Reasonable revision cycles may be included in the project scope as defined in the Statement of Work
Requests outside the agreed scope may require a revised scope or additional commercial agreement.
Commercial Terms and Payment
Payment terms will be defined in the project proposal, Statement of Work, or commercial agreement.
Typical engagement structures may include:
- Milestone-based payments
- Advance payments prior to project initiation
- Recurring payments for long-term service engagements
Invoices are payable within the payment period stated on the invoice.
Late payments may attract interest charges consistent with applicable commercial laws.
Intellectual Property
Ownership of final deliverables transfers to the Client upon full payment, unless otherwise stated in the project agreement.
Qquench retains ownership of:
- Internal methodologies
- Design frameworks
- Automation frameworks
- Proprietary tools, templates, or processes used during service delivery
Unless restricted by agreement, Qquench may reference completed work in its portfolio, case studies, or marketing materials.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the engagement.
Confidential information includes business data, product strategies, technology assets, training content, and any information identified as confidential.
Such information shall not be disclosed to third parties without prior written consent unless required by law.
Use of Third-Party Platforms
Certain services may involve third-party platforms, tools, or technologies including learning platforms, design tools, AI technologies, or hosting services.
Qquench is not responsible for operational limitations, outages, or performance issues related to third-party services beyond its control.
Limitation of Liability
To the maximum extent permitted by law:
Qquench shall not be liable for indirect, incidental, or consequential damages including business interruption, loss of revenue, or data loss arising from the use of delivered services.
Qquench liability for any claim related to services provided shall not exceed the total fees paid for the specific project engagement.
Termination
Either party may terminate an engagement with written notice if:
- The other party materially breaches the agreement, or
- Project continuation becomes commercially impractical.
In such cases, payment obligations remain valid for work completed up to the termination date.
Platform Access and Availability
Access to Qquench digital platforms, resources, or services may occasionally be interrupted due to maintenance, updates, or system improvements.
Qquench does not guarantee uninterrupted availability of online platforms or services.
Amendments
Qquench reserves the right to update these Terms and Conditions periodically.
The latest version will always be available on the official website.
Continued use of Qquench services constitutes acceptance of the updated Terms.
Governing Law and Jurisdiction
These Terms and Conditions are governed by the laws of India.
Any disputes arising from these Terms shall fall under the jurisdiction of the courts located in India.
